Job Description

Role description:

  • Drafting, negotiating and reviewing a variety of commercial agreements (including vendor service agreements, confidentiality agreements, research subscription agreements) and transactional documentation relating to asset management such as investment management agreements, purchase agreements; restructuring support agreements, leveraged loan documentation, fund documentation;
  • Familiarity with cybersecurity, environmental and social governance, pooled investment vehicles, bankruptcy reorganization, ISDA documentation, leveraged loan documentation, and trading agreements.
  • Providing legal analysis of risks associated with the terms and conditions of such agreements;
  • Assistance with review of marketing materials, request for proposals, DDQs, Forms ADV, policies and procedures;
  • Researching, advising and assisting in the structuring, regulatory analysis and launch of new products;
  • Interpreting and assisting with the implementation of regulatory changes (both US and international) that impact asset management.

The Successful Applicant

  • JD from a US ABA accredited law school
  • NY State Bar admission
  • Minimum 3-5 years of total experience, gained in-house (asset management industry preferred) or in a comparable law firm role;
  • Must have experience drafting and negotiating a wide range of agreements, including: transactional documentation relating to asset management such as investment management agreements, purchase agreements; restructuring support agreements, leveraged loan documentation, fund documentation;
  • Strong securities law experience;
  • Familiarity with cybersecurity, environmental and social governance, pooled investment vehicles, bankruptcy reorganization, ISDA documentation, leveraged loan documentation, and trading agreements;
  • Ability to work independently in a fast-paced environment and respond proactively to business needs;
  • Excellent communication and interpersonal skills -- ability to interact effectively with all levels of staff and management;
  • Team player with strong organizational and time management skills in order to prioritize complex and time sensitive projects
