Job Description
The Legal Counsel will report directly to the General Counsel.
Responsibilities will include:
- Advise internal clients on a wide range of complex commercial transactions.
- Draft, review and negotiate a wide range of high volume corporate contracts and commercial agreements.
- Assist with the preparation and planning for board and committee meetings.
- Oversee and analyze/advise with respect to global corporate administration efforts, including compliance with international, federal and state laws, maintaining foreign and domestic entities, and executive compensation and stock administration.
- Assist on other projects as needed, including general corporate, compliance and risk management, data privacy issues, and overseeing external counsel.
The Successful Applicant
- JD from a top US ABA-accredited law school with exceptional academic credentials
- Admission to NY or CA State Bar
- 2-4 years of experience dealing with commercial and corporate legal matters gained at a top-50 law firm with start-up/tech client experience
- Exceptional drafting and negotiating skills
- A team player who relates well with management and counterparts
- Able to demonstrate a high level of independent reasoning, excellent analytical judgment and
strong business judgment - Ability to balance competing projects in a fast-paced environment
- Excellent verbal and written communication, negotiation and presentation skills with the ability to
effectively interact with numerous business units - Meticulous attention to detail and superior organizational skills.
