Job Description

Acting as key member of Turkish board, you will be reporting directly to SVP & General Counsel in Europe, with a dotted reporting line to the Managing Director Turkey.

Responsibilities for this key role to include:

  • Point person for all Legal Advice: Provide clear and concise, strategic and commercially focused legal advice to the Management Board and the various departments (including Sales, Marketing and Purchasing departments) on all day-to-day operational legal, corporate, compliance (including data privacy, anti-bribery compliance, and corporate governance compliance) and litigation matters of the company.
  • Contracts: Draft, review, amend and negotiate a broad variety of commercial contracts (including distribution agreements, services agreements, supplier contracts, logistics agreements, tender documents, group agreements, and general terms and conditions of sale) and tailor them to the needs of the business teams and mitigate possible legal risks. Assist local management in contract negotiations and tender/bidding procedures.
  • Compliance: Ensure the company operations comply with all local laws, regulations and internal policies and provide training to non-legal colleagues in these areas. Set/implement internal governance policies.
  • Data Protection: Act as the local data protection officer for all privacy and data protection issues and questions as well as their coordination with the EMEA and Global Data Protection Team.
  • Regulatory: Keep an eye on relevant new legislation and ensure that it is implemented within the local organisation. This will include the ongoing monitoring, analysis, evaluation, presentation and explanation of current case law and changes to the legal basis for distribution as well as identifying internal implementation options to secure future business development.
  • Risk Management: Manage legal risk across the full breadth of the business in a manner that supports and facilitates the continued commercial success of the business. Promote and enforce ethical behaviour in all activities of Company in accordance with the Code of Conduct and Anti-bribery, Anti-corruption and Conflict of Interest Policies.
  • Efficiency & Standards: Develop standard contracts, templates, forms and general terms and conditions of any kind to streamline, standardise and simplify systems/procedures/documents/ways of working.
  • Debt Collection: Manage and oversee the Company's debt collection procedures with a view to actively and continuously drive down collection costs and increase the collection rate of "Debts".
  • Litigation: Directly and diligently follow and manage any claims and legal disagreement and support the business in disagreement with suppliers, customers and authorities as well as related alternative disagreement resolutions. Make necessary warnings for financial impacts of litigation's.
  • Outside counsel management: Effectively select and manage external counsels/contracted lawyers and also liaise between external counsels and internal business teams. Develop and enhance processes for selection and instruction of external counsel and manage these relationships effectively both in terms of costs and impact.
  • Business Partnering: Working effectively with senior management both in Turkey and internationally. Create strong relationships with the divisional Legal Team, functions, and international legal teams.

The Successful Applicant

The successful candidate will have +15 year's total experience in multinational companies. Law degree from a top tier Turkish or European law school complemented ideally by an international post-graduate degree (LL.M).

You will be also having a strong background in;

  • At least 10 year's experience in a comparable management position in an international environment, ideally in an in-house legal department in the pharmaceutical, health-care or fast moving consumer goods industry. Prior experience working at a law firm will be considered a plus.
  • In-depth knowledge of corporate, contract law (commercial contracts with suppliers, vendors, etc.), distribution law (wholesale and/or retail), regulatory, and competition law in Turkey as well as several years of professional experience in pharmaceutical/health care sector or FMCG industry.
  • Ability to provide a high level of English both verbal and written communication including analytically presentation
  • Good interpersonal relationships, management abilities and multicultural approach
