Job Description

  • Devising M&A strategies, identifying sectors and companies that might be viable business targets. Researching market conditions and developments, identifying growth opportunities and business model innovation.
  • Building and maintaining productive relationships with our target companies and related network. Identifying and negotiating strategic partnerships including financial arrangements, customer sharing, and intellectual property rights.
  • Managing cross-functional teams through the transaction process and leading external advisors and consultants when required.
  • Due diligence:
  • Evaluating and financial modeling of potential merger, acquisition, divestment, partnership, and joint venture opportunities.
  • Evaluation of the integrity and accuracy of the financial statements/information of the target entities; accessing the quality of its finance function and internal controls; identifying potential risks; preparing preliminary purchase accounting and signing off on the accuracy of the financial accounting underlying the forecasted cash flow analysis prepared to support the ultimate valuation of the target companies.
  • Purchase:
  • Responsible for all technical and financial valuation aspects of the purchase. This includes leveraging Corporate Accounting team and valuation firms, when necessary, to value acquired assets and liabilities; resolving all technical issues; coordinating auditor review, if necessary; and overseeing the execution of initial and ongoing accounting operations.
  • Involve the Legal department to ensure all the regulatory aspects of a transaction have been considered.
  • Integration:
  • Responsible for integration of accounting and financial reporting operations to ensure accuracy and timeliness of financial reporting.
  • Responsibility for overseeing the financial control environment of the acquired entities, setting forth and executing upon a roadmap to integrate financial systems and platforms where required.
  • Analyzing, assessing and communicating high-level business impacts and risks.

The Successful Applicant

  • High education degree preferably related to Business, Economics, Law or similar.
  • MBA is an asset.
  • 7 - 10 years of relevant business experience, including M&A, private equity, investments, corporate development, strategy consulting or venture capital.
  • Experience in Food sector IS A MUST.
  • Experience managing the full end-to-end life cycle of an M&A transaction from origination to close, including
    experience negotiating purchase agreement and other legal aspects.
  • Deal structuring, valuation, and financial/M&A modeling.
  • Business strategy.
  • High level in Office tools (mainly Excel and PowerPoint).
  • English.
  • Spanish knowledge is an asset.
  • Project management capabilities, ability to plan, manage and deliver projects independently.
  • Analytical and advisory skills.
  • Strategic thinking.
  • Excellent communication/influencing skills.
  • Teamwork.
  • Proactivity.
  • Ability to build and maintain strong relationships.
