Job Description

As Senior Associate - M&A, Corporate & Securities Attorney you will handle varied matters:

  • Handle varied public and private company transactions: reviewing and preparing draft agreements, due diligence and tracking/ overseeing signings and closings.
  • Conduct and oversee due diligence and risk assessments for mergers, acquisitions, and joint ventures.
  • Provide strategic legal advice to clients on corporate governance and securities law matters.
  • Collaborate with cross-functional teams to ensure successful transaction execution.
  • Maintain up-to-date knowledge of legal and regulatory changes impacting corporate and securities law.
  • Represent clients in negotiations, ensuring their interests are safeguarded throughout transactions.
  • On occasion, assist with general corporate matters, including entity formation and compliance, IPOs and capital markets engagements.
  • Provide mentorship and guidance to junior associates.

The Successful Applicant

The ideal Senior Associate - M&A, Corporate & Securities Attorney should have:

  • A Juris Doctor (JD) degree from an accredited law school.
  • Admission to the New York State Bar in good standing.
  • Proven expertise (6-9 years) in mergers and acquisitions, corporate law, and securities law within mid-size or big law.
  • Strong attention to detail, multitasking, drafting, negotiation, and analytical skills.
  • Ability to manage multiple projects and deadlines effectively.
  • Excellent communication and interpersonal skills.
  • Collaborative team approach.
