Job Description

  • Advise clients on corporate capital markets transactions, including securities offerings and regulatory compliance.
  • Draft and review legal documents such as prospectuses, offering memoranda, and other transaction-related agreements.
  • Collaborate with internal and external stakeholders to ensure seamless execution of transactions.
  • Provide guidance on SEC filings, including annual reports and registration statements.
  • Research and analyze legal issues related to corporate governance and securities regulations.
  • Support due diligence efforts and risk assessments for clients in capital markets activities.
  • Stay updated on changes in laws and regulations impacting the capital markets sector.
  • Mentor junior team members and contribute to knowledge-sharing within the department.

The Successful Applicant

A successful candidate should have:

  • A Juris Doctor (JD) degree from an accredited law school.
  • Bar admission in good standing in California or eligibility to waive into the jurisdiction.
  • Strong knowledge of corporate law, securities regulations, and capital markets transactions.
  • Excellent drafting, negotiation, and communication skills.
  • The ability to manage multiple projects and meet deadlines in a fast-paced environment.
  • A proactive approach to problem-solving and client service.
