Job Description

    • Provide legal support to structured finance, capital markets, and investment banking businesses across a broad range of securitization and financing transactions.
    • Serve as the lead legal advisor for Collateralized Loan Obligation (CLO) transactions, including warehouse facilities, new issuances, refinancings, resets, amendments, and ongoing deal management matters.
    • Advise on the structuring, development, and execution of CLO products, including legal, regulatory, bankruptcy, securities, and risk considerations affecting CLO platforms and transactions.
    • Draft, review, and negotiate documentation for CLO transactions, coordinating closely with bankers, structurers, portfolio managers, trustees, collateral managers, rating agencies, investors, and external counsel.
    • Support securitization transactions across a variety of asset classes, including asset-backed securities (ABS), residential mortgage-backed securities (RMBS), commercial mortgage-backed securities (CMBS), and other structured credit products.
    • Draft, review, and negotiate transaction documents and ancillary agreements related to structured finance and capital markets activities.
    • Advise business stakeholders on the development and implementation of new products, transaction structures, and strategic business initiatives.
    • Monitor and analyze legal and regulatory developments impacting structured finance markets and provide practical guidance regarding business, transactional, and compliance implications.
    • Partner with compliance, risk management, operations, and other corporate functions to assess regulatory requirements and enhance policies, procedures, and controls.
    • Provide legal advice on corporate, securities, finance, creditor rights, and bankruptcy matters relevant to securitization and structured finance activities.
    • Serve as a key legal stakeholder on cross-functional projects, regulatory change initiatives, and strategic business developments.
    • Prepare clear, timely, and commercially focused legal analyses, memoranda, and recommendations for senior management and internal clients.
    • Coordinate with industry groups, market participants, and external counsel on matters affecting structured finance and securitization businesses.
    • Manage external counsel relationships, including matter oversight, budgeting, and cost management.
    • Identify and mitigate legal and regulatory risks while supporting commercial objectives and business growth initiatives.
    • Collaborate effectively across legal, business, risk, compliance, and operational teams in a fast-paced financial services environment.



The Successful Applicant

  • Juris Doctor (J.D.) from an accredited law school and active bar membership in good standing in a U.S. jurisdiction.
  • 7+ years of legal experience advising on securitization, structured finance, and capital markets transactions at a leading law firm, financial institution, asset manager, or other sophisticated market participant.
  • Deep expertise in Collateralized Loan Obligations (CLOs), including warehouse financings, new issuances, refinancings, resets, amendments, and ongoing transaction management, with a strong understanding of applicable market practices, transaction structures, and regulatory considerations.
  • Significant experience with securitization products and structures, including CLOs, ABS, RMBS, CMBS, and related financing vehicles.
  • Strong understanding of the legal, regulatory, and structural considerations applicable to securitization transactions and structured credit products.
  • Comprehensive knowledge of corporate, securities, finance, secured lending, creditor rights, and bankruptcy laws relevant to capital markets and structured finance activities.
  • Demonstrated experience drafting, reviewing, and negotiating complex transaction documentation and managing transactions from structuring through execution.
  • Ability to provide practical, business-oriented legal advice while balancing commercial objectives with legal and regulatory risk management considerations.
  • Excellent analytical, problem-solving, negotiation, and decision-making skills, with sound legal judgment in complex and fast-paced environments.
  • Strong written and verbal communication skills, with the ability to effectively influence and advise senior stakeholders across business, legal, risk, and compliance functions.
  • Proven ability to manage multiple priorities simultaneously, work independently, and perform effectively under pressure.
  • Collaborative approach with experience working on cross-functional teams and supporting strategic business initiatives.
  • High level of professionalism, discretion, and ability to handle confidential and sensitive information.
  • Demonstrated intellectual curiosity, adaptability, and willingness to develop expertise in emerging products, regulations, and areas of law.
