The Senior Counsel - Treasury & Clearing will play a key role in drafting and negotiating a wide range of trading documents and other agreements.

Job Description

  • Draft, review, and negotiate legal documents for Fixed Income Clearing Sponsored Member Program; including the New York law-governed Master Repurchase Agreement and the New York law-governed FICC SMP Customer Agreement.
  • Draft, review, and negotiate legal documents for the secured term loan business.
  • Provide legal advice and guidance on related rules, regulations and applicable law.
  • Advise business stakeholders on new potential new clearing relationships.
  • Develop and maintain legal templates, negotiation playbooks, guidance notes, and governance materials.
  • Work collaboratively, seeking guidance and input from colleagues throughout the organization. Partner with colleagues who also serve in Risk, Credit, and Compliance.
  • Manage outside counsel both domestic and international.
  • Support the agency securities lending, principal lending, and secured term loan products teams.

The Successful Applicant

  • JD
  • NY Bar admission
  • 5+ years of experience in-house or at a top law firm handling repurchase transactions, central clearing, and capital markets transactions
  • Experience with sponsored member clearing models
  • Excellent experience drafting, reviewing, and negotiating trading documentation and related agreements.
  • Strong working knowledge of laws and regulations in the field of securities finance and cleared repurchase transactions as well as broader regulatory and/or investment advisory experience.
