My client is seeking a driven and commercially astute investment banking professional to join its Technology Investment Banking group at the Associate Director or Director level, based in the United States. The individual will be the primary business development and execution lead for enterprise technology mandates in North America, with a focus on software, SaaS, AI/ML infrastructure, cybersecurity, cloud services, and IT services businesses.

Job Description



Business Development & Deal Origination

  • Source and secure investment banking opportunities within the U.S. enterprise technology sector, covering M&A transactions (primarily sell-side, with select buy-side engagements), private equity and venture capital advisory, as well as equity and debt fundraising mandates.
  • Establish and maintain strong relationships with senior executives, founders, private equity and venture capital investors, family offices, and strategic acquirers throughout North America.
  • Identify and capitalize on cross-border opportunities within the technology ecosystem, including outbound acquisitions by technology companies, software and IT services companies seeking strategic partnerships, investments, or exit opportunities in the U.S.
  • Represent clients at industry conferences, investor events, and technology-focused forums to strengthen market presence and generate new business opportunities.



Industry Coverage & Market Insights

  • Build and sustain deep expertise across key enterprise technology segments, including SaaS, cloud and infrastructure software, cybersecurity, data analytics, artificial intelligence and machine learning, IT services, and digital transformation solutions.
  • Monitor and analyze M&A activity, valuation trends, financing markets, and strategic developments within the U.S. technology sector to support client engagement and business development efforts.
  • Develop high-quality industry research, sector reports, market mapping exercises, and pitch materials for prospective clients and internal stakeholders.



Transaction Execution & Deal Management

  • Work closely with teams to facilitate efficient cross-border transaction execution and leverage the firm's established network of strategic and financial investors.
  • Lead all phases of transaction execution, including preparation of CIMs, management presentations, financial models (DCF, LBO, public and precedent transaction analyses), valuation assessments, and transaction structuring.
  • Manage investor and buyer processes, including outreach activities, confidentiality agreements, management meetings, due diligence coordination, negotiations, and final transaction closing.
  • Mentor and oversee Associates and Analysts on active engagements, ensuring strong analytical standards and exceptional client deliverables.

Professional Experience

  • Over 8 years of investment banking experience, with years dedicated to technology-focused M&A and advisory engagements in the U.S. market.
  • Proven success in originating, leading, or significantly contributing to completed M&A, private equity advisory, and capital markets transactions within the enterprise software and IT services sectors.



Technical Expertise

  • Advanced financial modeling skills, including DCF, LBO, accretion/dilution analysis, sum-of-the-parts valuation, and complex scenario modeling developed from first principles.
  • Strong understanding of enterprise software business models, SaaS performance metrics (ARR, NRR, CAC/LTV, Rule of 40), and technology sector valuation methodologies.



Industry Network

  • Well-established relationships with founders, C-suite executives, corporate development leaders, and private equity/venture capital professionals across the U.S. enterprise technology landscape.
